We have to change the Registered address of our Section 8 due to some unforeseen reasons. Here I have a few questions
What is the process to change the Registered address with MCA,IT,EPF,ESI etc
Are there any specific considerations for changing in the same city?
Since most of our work is outside the state , can we change the address to the state where we are more focused on our work? Is there any specific process to be followed for that
Can the address be moved to a virtual office(like WeWork/awfis etc) within the city where we can receive communication from MCA/IT and set up a registered field office in the state where we do most of our work?
The process to change registered office in same city is simple i.e. pass Board resolution and file with ROC (same ROC jurisdiction) in INC-22 with supporting documents. The change of registered office to another state is elaborate requiring Board and General Body resolution, applying and obtaining RD approval for altering MOA alongwith publishing public notice and necessary filings with old and new ROC. The change in state should be a strategic call considering long term opportunities and commitments.
Change in address would require intimation/updation to Income Tax, to EPF, ESI, GST and MHA with approval in FC 6A if you are registered under FCRA. Prior approval from CIT will be required if there is change in jurisdictional CIT.
Having your registered office in virtual office is possible but with necessary documentation provided by the agency and a rent agreement. Necessary procedures to be complied with as per above if you are contemplating a change. Field offices generally require intimation to mainly state authorities.
